Team structure

Our award-winning corporate practice has dedicated and experienced lawyers handling a full spectrum of corporate and capital market activities as well as private wealth transactions. We advise a range of clients including banks, corporates (private and public), private equity houses and family offices on all forms of corporate and commercial transactions across Southeast Asia and beyond.

This role is working within the Corporate team. The Corporate team currently comprises 9 employees made up of 3 partners, 5 associates, 1 consultant, 1 registered foreign lawyer and 2 secretaries.

Main responsibilities
  • Advising on M&A transactional matters including conducting due diligence, drafting transaction documents, attending to completion and other ancillary matters.
  • Working on a range of other corporate and commercial transactions and related matters (for example, joint ventures and early-stage fund raising and investment activities).
  • Conducting research and advising on legal and regulatory issues from time to time (for example, on data protection, employment and selected financial services regulatory issues).
  • Involved in cross-border capital markets transactions, and both public and private securities offerings.
  • Equity capital markets transactions, including IPOs, RTOs, private placements, rights issues, convertible securities. Experience of working with SGX listed companies (Mainboard and/or Catalist) is a must.
  • Regulatory matters relating to SGX listed companies (e.g. setting up of ESOS/PSP, advising on acquisitions/disposals, interested persons transactions, disclosure related matters).
  • Experience of working on capital market matters in Hong Kong will be an added advantage.
Attributes/skills required

The successful candidate should have the following:

  • Experience: 1 to 3 years PQE, SG-qualified, preferably trained with a reputable mid or large Singaporean law firm
  • Strong corporate / M&A experience
  • Able to work independently and have good legal drafting, presentation and analytical skills
  • Good research skills and a natural interest in legal and commercial developments
  • Commercial minded and solution-oriented
  • Meticulous and well organised
  • Possesses initiative, drive, strong work ethics and good interpersonal skills
